The Company & Commercial Lawyers Group is hosting the above seminar on 19 June 2018, which will be delivered by Richard Gray from Carson McDowell LLP.
Richard jointly heads Carson McDowell’s Corporate Team and his main areas of practice are in corporate, banking and projects work. Richard has more than twenty five years experience advising leading Northern Irish businesses and International companies across a broad range of sectors including mergers and acquisitions, reorganisations, online retail and manufacturing, shareholder disputes and corporate finance. He has advised on numerous high value transactions in recent years both across the UK and Ireland and mostly recently acted as the lead legal advisor for the shareholders in Lagan Group in agreeing the sale of the group to Breedon Group.
Richard has been named as a ‘leader in the field’ for corporate finance (and previously for banking and projects) in Chambers UK Guide to the Legal Professional for more than a decade and in Chambers Guide to Europe.
In this seminar, Richard will focus on one of the most fundamental parts of a corporate transaction; the pricing mechanism. In recent years, the “locked box mechanism” has become increasingly popular in mergers and acquisitions as it provides parties with clarity as to the purchase price at completion with no need for post-completion adjustments or determinations. The detail of this price mechanism, together with the pros and cons against the more traditional “completion accounts mechanism” are considered by Richard in this seminar.
The seminar will be held in Lecture Hall, Law Society House from 12.30pm to 2.00pm (1 hour CPD) and lunch will be provided. This event is open to both members and non-members. The cost will be £30 per member and £40 per non-member.
